- Provide necessary access to websites, hosting, domains, social media accounts, advertising platforms, or other required tools.
- Review submitted work promptly and provide timely feedback or approvals.
- Ensure that all materials supplied to RK NextGen Marketing are legally owned or licensed.
Point of Contact (POC)
The Client must appoint one authorized Point of Contact (POC) for the project.
The designated Point of Contact will be responsible for:
- Project communication
- Approvals
- Feedback
- Change requests
- Decision-making
RK NextGen Marketing will consider instructions received from the designated Point of Contact as official client instructions.
The agency shall not be responsible for delays, disputes, or miscommunication resulting from instructions received from multiple representatives of the Client.
Any change to the Point of Contact must be communicated in writing.
6. Payment Terms
The following payment terms apply to all projects unless otherwise agreed in writing.
Advance Payment
A 50% advance payment is mandatory before the commencement of any project.
No work will begin until the advance payment has been successfully received.
Remaining Balance
The remaining 50% payment must be paid within 15 calendar days from the project onboarding date, unless otherwise specified in the proposal or invoice.
Late Payments
Failure to make payment within the agreed timeline may result in:
- Temporary suspension of services.
- Delay in project delivery.
- Suspension of advertising campaigns.
- Suspension of website maintenance.
- Additional recovery actions if necessary.
Final Deliverables
RK NextGen Marketing reserves the right to withhold:
- Website credentials
- Source files
- Creative assets
- Marketing reports
- Campaign ownership transfers
- Final deliverables
until all outstanding payments have been received.
7. Project Timelines
Project timelines depend upon timely communication and approvals from the Client.
Any delay in:
- Content submission
- Feedback
- Approvals
- Payments
may extend the agreed project timeline.
RK NextGen Marketing shall not be responsible for delays caused by the Client or third-party service providers.
8. Intellectual Property
All content, graphics, branding, website designs, marketing strategies, documents, proposals, and materials created by RK NextGen Marketing remain our intellectual property until full payment has been received.
Upon receipt of full payment, ownership of the agreed project deliverables will be transferred to the Client unless otherwise specified in writing.
The Client may not reproduce, modify, distribute, or resell our proprietary materials without written consent.
9. Confidentiality
RK NextGen Marketing treats all client information as confidential.
Any login credentials, advertising accounts, business information, project data, financial information, marketing strategies, customer information, or other confidential materials shared with us shall be used solely for the purpose of delivering the agreed services.
We will not disclose confidential information to third parties except where required by law or with the Client’s written consent.
10. Third-Party Platforms
Many of our services rely on third-party platforms including but not limited to:
- Meta
- WordPress
- Hosting Providers
- Payment Gateways
- Analytics Platforms
RK NextGen Marketing is not responsible for:
- Changes in third-party platform policies.
- Platform outages or downtime.
- Advertising account suspensions.
- Search engine algorithm updates.
- Social media policy changes.
- Technical issues beyond our control.
11. No Guarantee of Results
Digital marketing performance depends on multiple external factors.
While RK NextGen Marketing follows industry best practices, we do not guarantee:
- First-page Google rankings.
- Guaranteed leads or conversions.
- Guaranteed sales or revenue.
- Specific Return on Ad Spend (ROAS).
- Approval of advertisements.
- Viral social media growth.
Past performance does not guarantee future results.
12. Limitation of Liability
RK NextGen Marketing shall not be liable for any indirect, incidental, consequential, or special damages arising from:
- Business interruptions.
- Website downtime.
- Loss of profits.
- Loss of data.
- Advertising platform restrictions.
- Third-party service failures.
- Delays beyond our reasonable control.
Our maximum liability shall not exceed the total amount paid by the Client for the specific service in question.
13. Privacy

14. Termination
Either RK NextGen Marketing or the Client may terminate the service agreement by providing at least 15 calendar days’ prior written notice via email.
Upon termination:
- All pending invoices become immediately payable.
- Services will continue only during the notice period unless otherwise agreed.
- Any unpaid work will be paused or discontinued.
- Project files, website credentials, creative assets, campaign ownership, or other deliverables will be handed over only after all outstanding dues have been fully settled.
15. Modifications
RK NextGen Marketing reserves the right to update or modify these Terms & Conditions at any time.
The latest version will always be available on our website. Continued use of our website or services after any changes constitutes acceptance of the revised Terms.
16. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Republic of India.
Any dispute arising from these Terms or the services provided by RK NextGen Marketing shall be subject to the exclusive jurisdiction of the competent courts in Visakhapatnam, Andhra Pradesh, India.
